Conflict of Interest & Non-Disclosure Agreement

Consultant may work with multiple businesses, clinics, or healthcare providers, including but not limited to those serving different geographic regions, specialties, insurances accepted, or client demographics.

Consultant agrees that:
- Proprietary information about Client's operations, marketing strategies, referrals, pricing, internal processes, or customer lists will be kept strictly confidential.
- Consultant will not disclose or use any confidential information belonging to Client for the benefit of any other business or competitor.
- No proprietary or confidential information will be shared without express, written consent from Client.

Consultant does not guarantee exclusivity unless a separate signed Exclusivity Agreement is executed.

Payment Terms, Liability Waiver, Refund, and Termination Policies

Payment Terms:
- A minimum of fifty percent (50%) of the total service fee must be paid prior to the commencement of any services.
- The remaining balance is due upon the mutually agreed milestone or calendar date.
- If payment is not received on time, Consultant reserves the right to immediately halt all services without liability.
- Client acknowledges that delays in payment may significantly impair marketing outcomes, and Consultant shall not be liable for any resulting loss or disruption.

Legal Costs and Collection Fees:
- Client shall be responsible for all legal fees, court costs, arbitration fees, collection costs, and related expenses incurred by Consultant, regardless of the outcome of any legal proceedings.

Refund and Early Termination Policy:
- All fees paid to Buzzin' 'Bout Bizz, LLC are non-refundable.
- No reimbursements will be made for early termination initiated by the Client.

Termination Notice Requirements:
- Client must provide seven (7) calendar days' written notice to terminate this Agreement. - Consultant may terminate this Agreement without refund if any of the following occur:

- Violation of ethical or moral standards
- Hostility, harassment, or disrespectful behavior toward Consultant or others - Persistent lack of reasonable communication from Client
- Behavior threatening the professional reputation of either party

- Consultant will provide documentation if termination occurs based on the above conditions.

Governing Law: This Agreement shall be governed by the laws of the State of [Insert State]. Entire Agreement: This document represents the full agreement between the parties. Severability: If any provision is held invalid, the remainder shall remain in effect.
